Payment Terms
Payments:
All initial Elance projects will always be handled using Elance’s Escrow system with funding of each project segment before the work of that segment will start. At the successful completion of each segment the client will acknowledge successful completion by releasing funds against the defined milestone. Projects will have at least two project segments. The failure of the Client to provide compensation as stated shall constitute a material breach of this Agreement by Client, and UTS may suspend further work until such compensation is made in full.
Expenses:
Expenses when authorized by client will be billed at cost plus seven percent (7%) handling. These expenses can include but are not limited to: shipping costs, express mailing, meals and lodging for travel if requested by client, purchased material for mockups or models, unique art supplies, components, hardware, paint, reproduction, color outputs, plotting, binding, and phone/FAX /Email communication and any transactions fees / commissions required by Elance. UTS will provide an estimate of the total amount of expenses anticipated for the project however this might be exceeded based upon project requirements.
Project costs:
The enclosed costs are based upon information furnished to UTS by the Client. If Client provides new information or instructions during the course of the Project, UTS reserves the right to submit an adjusted Agreement for the changes that may arise due to this information. At any given time during a project, the Client may request additional support on a time and materials basis, which UTS shall track as a separate cost. Costs will be added to the Projects Business Terms Area on Elance.
Termination:
Client can terminate this Agreement at any time and will only be liable for services and expenses up to the date of written notification of termination. There is a minimum 10% or $50.00 termination cost for any project.
UTS will release all project work requested by client when final payments have been made in full. UTS may also terminate this contract if Client fails to comply with its responsibilities or engages in unlawful activities.
Non-Disclosure:
UTS agrees to treat all information relative to the Client as confidential, and will use reasonable effort to prevent any disclosure of confidential information relative to this assignment, except where necessary to complete the assignment or if specifically instructed otherwise by the Client. This non-disclose statement may be supplemented by a Non-disclosure agreement as required by the client.
Patents:
UTS agrees that any Patents, Trademarks, Service Marks or Copyrights from design or invention resulting from work outlined in this Agreement shall be assigned to the Client after all services and expenses are paid in full. The Client hereby assumes any and all responsibility and liability arising from allegations that any design or part thereof infringes upon any domestic or foreign patents or any other rights of third parties, and agrees to defend and pay all costs with regard to all actions, causes of actions, claims, suits and other proceedings in connection therewith.
Liability:
The Client bears final responsibility for determining the suitability, safety, marketability, and overall fitness of the design for any intended purpose. The Client shall protect, save harmless and indemnify UTS and his employees in the event of any claims or suits arising from any service or design provided by UTS. UTS will perform services under this effort in a professional manner, but makes specific no warranties with respect to any work as to the merchantability, title, or fitness for particular purpose.
Legal / Arbitration:
Any disputes that result shall be submitted first to Elance’s Mediation process. If that is not successful; UTS and the client will agree to utilize Elance’s Arbitration provider to make a final decision on any disagreements.

Detailed Service Description
Unicorn Technical Services is now a virtual company of more than 10 associates specializing in electro-mechanical product development. We have the capability to work with clients and vendors on an international basis in all areas of product design, development and implementation, from initial concept to full-scale production.
Mr. Leon heads up the effort bringing more than 30 years of mechanical systems design experience including the development and commercialization of medical devices and other life critical systems, while working in both commercial and governmental sectors. He has exceptionally strong, "hands-on" skills in machine and mechanism design, tool design, plastic molding, composites, fabrication practices and procedures, design for assembly, kinematics, and dynamic analysis/modeling. Additional skills include the efficient use of CAD, system development and analysis, project management, and TQM.
